East Midlands' law firm, Nelsons is hosting a series of
free-to-attend, breakfast discussion forums for surveyors and
managing agents on negotiating clawback or overage agreements.
The breakfast forums will take place from 8.30am to 10.00am,
firstly at Nelsons' Nottingham office on Stanford Street on Tuesday
14th June, then in Leicester at the firm's New Walk office on
Wednesday 15th June and finally at The Hallmark Hotel in Derby on
Wednesday 22nd June.
Director and head of Real Estate at Nelsons, James Coningsby
says: "With current market conditions making putting a figure on
"hope value" almost impossible, an increasing number of sellers are
seeking to play safe by keeping back a right to share in uplift in
value arising at a future date. Such arrangements, commonly known
as clawback or overage agreements, can be complicated and difficult
to enforce.
"Through a review of case studies and adopting our usual open
discussion format, we will review the law and best practice
relating to what should be covered in heads of terms, realistic
expectations (including duration and percentage of uplift payable),
common pitfalls to be avoided in the negotiations and the best ways
to secure the payment of uplift enforcing payments in the event of
default."
